How to challenge meeting minutes legally

When and how to dispute board meeting minutes or HOA resolutions: grounds, deadlines and the step-by-step legal process.

Grounds for a valid challenge

Procedural defects (lack of quorum, no notice, ineligible voters), substantive defects (decisions contrary to bylaws or law), or factual errors in the recorded minutes. Each jurisdiction sets specific limits.

Deadlines vary by jurisdiction

Most US states give HOA members 30–90 days to challenge a resolution. In Spain it's 3 months (1 year for illegal acts). Miss the deadline and the resolution becomes final.

Document everything in real time

Recordings, signed attendance sheets and the verbatim text of motions are the evidence a court will examine. Reconstructing them after the fact rarely works.

Prevention beats litigation

Templates compliant with parliamentary procedure, named votes and automatic notification to absentees eliminate most disputes. Quorade builds these guardrails into every set of minutes.
