What every set of minutes must include
Date, time, location, list of attendees, agenda, motions voted with named results, key discussion points and the signature of the secretary with chair approval. Missing any of these can make the minutes challengeable.
Recommended structure
1) Formal header. 2) Agenda items one by one. 3) Discussion summary per item. 4) Verbatim approved motion with vote tally. 5) Closing, any other business, time of adjournment and signatures. Keep tone neutral and third-person.
Common mistakes that invalidate minutes
Mixing opinion with fact, omitting named vote results when required, not transcribing approved motions verbatim, and signing late. These are textbook grounds for challenges in both corporate and HOA contexts.
